No Response is needed for this question. BYLAWS OF THE CITY ENGINEERS' ASSOCIATION OF ORANGE COUNTY Amended by the membership at the regular meeting of November 6, 2000. A. NAME The organization will be known as \"THE CITY ENGINEERS ASSOCIATION OF ORANGE COUNTY\". B. OBJECTIVES To broaden the understanding and knowledge of Public Works. To serve as a means of dissemination of practical knowledge through the interchange of information, experience and opinions relating to Pubic Works activities; particularly with regard to matters of concern in Orange County. To permit the Association to act as an advisory or recommending group to various governmental agencies or other interested parties. To provide a forum for open discussion of Public Works in conjunction with other established governmental agencies. To work to increase the professional standards, image and ethics of governmental engineers of Orange County. To monitor proposed legislation relating to Public Works policies and C. OFFICERS The officers of this Association shall all be Regular members and shall consist of a President, a Vice-President, and a Secretary-Treasurer. Officers shall serve for one calendar year in each position. There shall be a Board of Directors consisting of the President, Vice-President, Secretary-Treasurer, and the two most immediate member past Presidents. The duties of the officers shall be in accordance with the specifications of regular parliamentary procedures as set forth in Roberts Rules of Order. In addition: The Vice-President shall serve as Program Chairman for each regular meeting. The Secretary-Treasurer shall maintain Association funds, pay Association debts, process memberships, maintain a membership roll, maintain a record of all official actions of the Association and notify the membership of all regular meetings. Officers shall be elected by ballot or by oral vote annually, at the December meeting and shall assume their post at the January meeting. Nominations for officers to be elected at the December meeting shall be made by a nomination committee to be appointed by the President not later than November of each year. The committee shall consist of not less than three Regular members. Additional nominations may be made from the floor at the December It is the intent that all officers progress through the officer positions. Vacancies in officer positions that occur during a term shall be filled by the next officer position. The resulting vacant officer position shall be filled by special nomination and a vote called for by the President at a regular meeting. D. MEMBERSHIP AND VOTING The membership of this Association shall consist of Regular members, Associate members, and Honorary members. Each agency will be permitted one vote regardless of type of membership or number of members. Regular members shall be full-time employees of an Orange County public agency, be the administrative head of the Public Works activity, or of engineering functions for the Associate members shall be engineers who are employed by any public agency involved in activities related to the practice of engineering in Orange County, and who are interested in the aims and activities of this Association. Associate members shall be eligible to enjoy all of the privileges of membership, except that they shall not be eligible to vote. Associate members shall be (1) an engineer in responsible charge for the engineering functions of a public agency in Orange County or (2) an employee of a consulting firm who has been designated as a City Engineer by an Orange County city. Honorary members shall be persons who have been actively engaged in governmental engineering, and whom the Association is desirous of having included in its membership in recognition of noteworthy efforts of behalf of public service. Honorary members will not be required to pay the annual dues. Requests for membership shall be submitted orally or in writing to the Association and shall be accompanied by the first year's dues. Eligibility for Associate membership and Honorary membership shall be subject to approval of the Board of Directors. Voting shall be by Regular members only and each public agency shall be permitted only one vote. E. DUES The dues for Regular and Associate members will be $20.00 per person, per year. The dues may be adjusted by a vote of the Regular membership. Dues shall be used to defray the costs of postage, guest speakers, nametags and other expenses of the organization. F. MEETINGS The meetings will be held at noon on the first Monday of each month. Special meetings may be held subject to the call of the President. The meetings shall be centrally located in the County with convenient access. Nametags should be worn at all meetings. G. COMMITTEES The following permanent committees shall be appointed by the President from the regular membership: OCTA Technical Steering Committee (One and Two-Year Terms) NPDES Technical Advisory Committee (3-Year Terms) City Engineers' Flood Control Advisory Committee (3-Year Terms) Caltrans Professional Liaison Committee (Indefinite Term) 800 MHz Government Committee (Indefinite Term) Ad hoc committees shall be appointed by the President from the Regular, Associate or Honorary membership. The terms, subject and duties of committees shall be those delineated by the President and approved by the membership at a regular meeting. Amendments Amendments to these bylaws shall be proposed by a committee of three active members appointed by the President and shall be passed by a majority of the members present at a regular meeting held after notice of such change has been made in writing to all members., These are the proposed by-laws. The duties of the officers shall be in accordance with the specifications of regular parliamentary procedures as set forth in Roberts Rules of Order. In addition: The Vice-President shall serve as Program Chairman for each regular meeting. The Secretary-Treasurer shall maintain Association funds, pay Association debts, maintain a record of all official actions of the Association, and notify the membership of all regular meetings. The Membership Coordinator role includes processing memberships, maintaining a membership roll, and responding to questions regarding membership. Officers shall be elected by ballot or by oral vote annually, by December 31 of each year and shall assume their post on January 1 the following year. Nominations for officers shall be made by any regular member before the annual election. It is the intent that all officers progress through the officer positions. If an officer leaves midway during the term, the vacancy shall be filled by the majority of remaining officers. D. MEMBERSHIP AND VOTING Regular members shall be full-time employees of an Orange County public agency, be the administrative head of the Public Works activity, or of engineering functions for the agency as designated by the Public Works Director, or an employee of a consulting firm who has been designated as a Public Works Director or City Engineer by an Orange County city. Honorary members shall be persons who have been actively engaged in governmental engineering, and whom the Association is desirous of having included in its membership in recognition of noteworthy efforts on behalf of public service. Honorary members will not be required to pay the annual dues. Voting shall be by Regular members only and each public agency shall be permitted only one vote, cast by the Public Works Director or designee. Each agency will be permitted one vote regardless of type of membership or number of members. The agency shall designate a voting member and an alternate at the beginning of the calendar year. E. DUES The dues for Regular and Associate members will be $50 per agency, per year due by January 31st. The dues may be adjusted by a vote of the Regular membership. Dues shall be used to defray the costs of postage, guest speakers, nametags and other expenses of the organization. The Secretary-Treasurer will assemble an annual statement of revenue and costs available by January 31st for the preceding year. The statement will be available to members upon request. F. MEETINGS The meetings will be held at noon on the first Monday of each month. Special meetings may be held subject to the call of the President. The meetings shall be centrally located in the County with convenient access, to the extent possible. The cost to attend the luncheon will be established by the Secretary-Treasurer to fully recover the per person cost to attend. Nametags should be worn at all meetings and returned to Secretary-Treasurer at the conclusion of the meeting. G.
